Selling Your AMZ Based Business & The Limitations of Amazon's Business Solutions Agreement

Hi everyone. My name is David Miller. I manage our Business Law for Sellers Department here at Amazon Sellers Lawyer. Today I want to discuss selling your Amazon account.

Now, if you have an interested buyer, first of all, congratulations. That is a tremendous accomplishment. There are a few things to be aware of. The main agreement when you're selling your Amazon store is called an asset purchase agreement.

Now, the main thing to be aware of is that in your contract with Amazon, that's the Business Solutions Agreement, when you first started selling on Amazon, those are the terms you agreed to. In Section 18, it specifically says that you cannot assign or transfer your rights to another seller without Amazon's permission.

Now, it's important to note that you cannot represent, you cannot warrant, essentially, you can't promise that you will be able to transfer your rights directly to another buyer. So you have to make sure that that's in the agreement, that the buyer knows about it to protect yourself from liability if the situation comes up where the transition is not smooth.
