As defined by Section 2 (68) of the Companies Act 2013, a private company is a company whose Article of Association (AoA) prevents the transfer of its shares, along with this, it also prevents a large number of the public from subscribing to the same.
In simple words, a private limited company is a business entity with private ownership. It is usually owned by non-governmental organizations or relatively small shareholders or members of a company.

Features of a Private Limited Company are:-
1. Minimum 2 members are required and it could extend up to 200.
2. Earlier to incorporate an online company registration minimum paid-up of Rs. 1 lakh was required, however, it is abolished now
3. The private company should have, “Private Company” or “Pvt. Ltd.” at the end of the name.
4. Like a public limited company, you can transfer the shares freely in a private limited company.




Documents Required to set up new company are:-
1. Share capital amount and preferred ratio shareholding.
2. If you are the owner of the premises, you are required to submit the utility bill(either electricity bill or gas bill, or Postpaid mobile bill) & take the NOC from that person whose bill belongs.
3. In the case of rented premises also, you are required to submit utility bills(either electricity bill or gas bill, or Postpaid mobile bill) & NOC (No Objection Certificate) from the owner of the property.
4. PAN card of the directors for identity proof.
5. Address proof of the registered office, for this, you can submit the electricity bill, telephone bill, etc.
6. For the address proof of the directors, you are required to submit the voter ID card, Driving Licensing, Passport, etc.
7. Director's and shareholder's occupation details.
8. Affidavits will be required for non-acceptance.
9. Passport-size photographs of the directors as well as of the shareholders.
10. Subscriber sheet of Memorandum of Association (MoA) and Article of Association (AOA).
11. In the case of a foreign national member, you are required to submit proof of your nationality.
